Club Charter of Michiana Bonsai Study

Purpose

The purpose of Michiana Bonsai Study (the club) is to gather and share information relevant to the acquisition, training, care, propagation, display and enjoyment of all varieties of bonsai specimens. It is a nonprofit unincorporated association and will focus on education and charitable activities.

Article I

Name of the Organization

1.1  The name of the organization is Michiana Bonsai Study.

Article II

Membership and Meetings

2.1  Individuals or families shall become members by providing the Club with their name(s) and contact informatiom and payment of annual dues. The members will meet on a monthly basis. The last meeting of the year will be considered the Annual meeting of the Club.

 

Article III

Governance

3.1  A governing committee of four (4) offices consisting of a president, vice president, secretary and treasurer will be elected at the Annual meeting by a simple majority of the members present.

a)  The elected officers will serve the following calendar year.

b)  In the event an officer is unable to fulfill their term, a replacement may be elected at any regularly scheduled meeting.

c)  A member may hold more than one office at a time.

 

Article IV

Duties of Officers

4.1  The president shall

a) preside at the business portion of scheduled Club meetings.

b)  prepare and present to the membership a schedule of meetings and/or events for the year in which they serve.

c)  notify members of any changes to the Club's calendar.

d)  secure sites at which meetings are to be held.

e)  perform all other duties incident to the office of president.

 

4.2   The vice president shall

a) assume the duties of the president in the event that the president is unable.

b) perform all other duties incident to the office of vice president.

4.3   The secretary shall

a) provide minutes of each Club meeting.

b) maintain the Club's membership roster.

c) perform all other duties incident to the office of secretary.

4.4   The treasurer shall

a)  have the care and custody of all Club funds.

b)  pay out of those funds all bills and debts incurred by the Club.

c)  present a financial report to the membership at each regularly scheduled meeting.

d) perform all other duties incident to the office of treasurer.

 

Article V

Dues

5.1  At the last regularly scheduled meeting of each year, the membership shall determine the annual dues for the following calendar year by a simple majority of the members present.

5.2  To maintain membership, a member must pay their dues for the current year by April 30th.

 

Article VI

Library

6.1  A library shall be maintained by the Club which will contain books, pamphlets and other materials collected and retained for the use by the Club and its membership for educational and promotional purposes.

 

Article VII

Dissolution of Michiana Bonsai Study

7.1  Upon the termination, dissolution, or winding up of the Club, the officers shall, after paying or making provision for the payment of all liabilities of the Club, distribute all assets of the Club to such organization or organizations organized and operated exclusively for charitable, educational, or scientific purposes as shall at the time qualify as an exempt organization or organizations under section 501 (c)(3) of the Internal Revenue Code. A qualifying receiving organization or organizations with the express goals of bonsai education would be preferred. Any such assets not so disposed of by a court of competent jurisdiction for such purposes or to such organization or organizations as said Court shall determine which are organized and operated exclusively for such purposes.

 

Article VIII

Amendments to By-laws

8.1  This document may be amended by a 2/3 vote of the membership present at a regularly scheduled meeting.
